How Long Does a California Liquor License Escrow Take?

There is no single escrow duration that applies to every California liquor license transfer. Timing depends on the ABC application, the transaction structure and the conditions that must be satisfied before closing.

At a Glance

For a typical person-to-person transfer, allow approximately 90 to 120 days. Escrow itself can be opened right away, but closing depends on ABC’s approval — the ABC licensing timeline and the escrow timeline are related but not the same thing, and escrow cannot close until ABC approves the transfer.
ABC approval controls final closing.
Document, tax, creditor and deal changes can create delay.
Starting early helps.

SERVICE COMMITMENT: Requests received during normal business hours will receive a response within one hour.

What controls the timeline?

  • How quickly the parties provide information. Missing names, entities, purchase terms or supporting documents can slow preparation.
  • The type of ABC transfer. Person-to-person, premises-to-premises, ownership changes and other transfer types can require different filings.
  • Accuracy of the Notice of Intended Transfer. ABC warns that defects, missing notices or changes to consideration can delay processing.
  • ABC review. The Department’s review and approval process is outside the escrow holder’s control.
  • Tax, creditor or lien issues. These can create additional closing conditions.
  • Changes to the deal. Changes in buyer, seller, price, allocation, financing, premises or other material terms may require revised documents or additional review.

A practical sequence

  1. Initial review: the escrow officer learns the transaction structure.
  2. Opening documents: escrow instructions and transaction-specific intake items are prepared.
  3. ABC filing: the applicant files the applicable transfer package and required notice documents.
  4. Open-item period: the parties address escrow, regulatory, tax, creditor and other transaction conditions.
  5. Approval and closing readiness: escrow confirms the conditions required under the instructions.
  6. Closing: funds and documents are distributed according to the instructions once the transaction is ready to close.

How can parties reduce avoidable delay?

Start escrow early when it is required, use accurate entity names, identify the full consideration, disclose unusual financing or allocation terms, respond promptly to document requests and notify the escrow officer before changing material transaction terms.

Frequently asked questions

Can escrow close before ABC approves the transfer?

California ABC states that the escrow agreement must provide for payment only after ABC approves the transfer.

Does opening escrow mean the ABC application has been filed?

No. Opening escrow and filing the ABC application are separate steps, although escrow may be required before the filing.

Can the escrow company guarantee an ABC approval date?

No. An escrow holder can manage its part of the transaction, but ABC controls its licensing review and approval process.

Contact an Escrow Officer

ABC Escrow begins with a short conversation about the transaction. Once an escrow officer understands what is being transferred and how the deal is structured, the appropriate intake documents and fee information can be provided.
